Terms of Service

1. Introduction

These Terms of Service ("Terms") are published by COZ CLUB CONSULTING PRIVATE LIMITED, a company incorporated under the laws of India and having its registered office at Vadodara, Gujarat ("COZ CLUB", "we", "us" or "our"). COZ CLUB operates a business ecosystem comprising various verticals and initiatives, including its Connect, Consult, CoServe and Capital initiatives, and provides its members with access to the website available at www.cozclub.com and the associated member portal (together, the "Website").

These Terms govern your access to and use of the Website, whether as a visitor or as a Member, and form a binding agreement between you and COZ CLUB. Please read these Terms together with our Privacy Policy and, if you are a Member, your COZ CLUB Membership Agreement.

2. Acceptance of Terms

By accessing or using the Website, registering for membership, or otherwise engaging with any COZ CLUB initiative, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the Website.

If you are accessing the Website on behalf of a company, firm or other entity, you confirm that you are authorised to accept these Terms on that entity's behalf, and references to "you" or "your" include that entity.

3. Eligibility and Membership

The Website and member portal are intended solely for use by individuals who are at least 18 years of age and are engaged in business or professional activities. Membership of the COZ CLUB ecosystem is granted at our discretion, on the basis of an application, and subject to any Membership Agreement executed between you and COZ CLUB.

You agree to provide accurate, current and complete information when registering for membership or a Login ID, and to keep such information updated. COZ CLUB may verify the information you provide and may decline, suspend or terminate membership where information provided is found to be false, misleading or incomplete.

4. Login Credentials and Account Security

Your Login ID and any One Time Passwords issued to you are personal to you and must not be shared with any other person. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us promptly at contact@cozclub.com if you suspect any unauthorised access to or use of your account. COZ CLUB is not liable for any loss arising from your failure to keep your login credentials confidential.

5. Use of the Website and Member Portal

You agree to use the Website and member portal only for lawful purposes connected with membership administration, business networking, ecosystem participation and access to COZ CLUB initiatives, and in accordance with these Terms.

You agree not to:

• upload or share any content that is unlawful, defamatory, infringing, misleading or that violates the rights of any third party;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• use the Website to send unsolicited communications or to engage in conduct that is fraudulent or harmful to other Members;
• attempt to gain unauthorised access to the Website, member portal, or any account, system or network connected to them;
• copy, scrape, reverse engineer or interfere with the proper functioning of the Website; or
• use another Member's profile information for any purpose other than the legitimate networking and business purposes for which the member portal is provided.

COZ CLUB may remove content, suspend access, or take such other action as it considers appropriate where a Member's use of the Website is inconsistent with these Terms.

6. Member Content

You are responsible for the accuracy and lawfulness of any content you upload to your member profile, including company profiles, logos, brochures and presentations. By uploading content, you grant COZ CLUB a non-exclusive licence to display that content within the member portal, and where you have separately agreed, on publicly accessible pages of the Website, for the purposes described in our Privacy Policy.

You confirm that you own or have the necessary rights to any content you upload, and that such content does not infringe the intellectual property or other rights of any third party. COZ CLUB may remove content that it considers, in its reasonable discretion, to be inaccurate, unlawful or inconsistent with these Terms.

7. Intellectual Property

The Website, including its design, layout, text, graphics, logos and the COZ CLUB name and marks, is owned by or licensed to COZ CLUB and is protected under applicable intellectual property law. Nothing in these Terms transfers any ownership of such intellectual property to you.

You may not use the COZ CLUB name, logo or marks without our prior written consent, except as reasonably necessary to identify your membership of the COZ CLUB ecosystem.

8. Ecosystem Initiatives

Connect, Consult, CoServe and Capital are initiatives operated within the COZ CLUB ecosystem to facilitate networking, advisory support, service delivery and capital access among Members respectively. Participation in any initiative is subject to any additional terms, scope documents or agreements applicable to that initiative, and to the discretion of COZ CLUB and the relevant vertical.

COZ CLUB facilitates introductions, referrals and business opportunities between Members but is not a party to, and does not guarantee the outcome of, any transaction, engagement or arrangement entered into between Members.

9. Fees and Payments

Membership fees, where applicable, are as communicated to you at the time of your application or renewal, and are payable in accordance with your Membership Agreement. Fees are generally non-refundable except as expressly stated in your Membership Agreement or as required by applicable law.

COZ CLUB may revise its fees from time to time, with reasonable notice to Members prior to the change taking effect for subsequent renewal periods.

10. Disclaimers

The Website and member portal are provided on an "as is" and "as available" basis. COZ CLUB does not warrant that the Website will be uninterrupted, error free or free of harmful components, and disclaims all warranties, express or implied, to the extent permitted under applicable law.

COZ CLUB does not warrant or endorse the accuracy of any Member's profile, business claims, or content, and any reliance you place on such information, or on any introduction, referral or opportunity facilitated through the Website, is at your own discretion and risk.

11. Limitation of Liability

To the maximum extent permitted under applicable law, COZ CLUB shall not be liable for any indirect, incidental, special or consequential loss or damage, including loss of business, revenue or goodwill, arising out of or in connection with your use of the Website, member portal, or any COZ CLUB initiative, or any transaction or arrangement between Members.

Nothing in these Terms is intended to limit liability that cannot be excluded or limited under applicable Indian law.

12. Indemnification

You agree to indemnify and hold COZ CLUB, its affiliates, directors, employees and authorised representatives harmless from any claim, loss, liability or expense (including reasonable legal costs) arising out of your breach of these Terms, your misuse of the Website or member portal, or your violation of any applicable law or the rights of any third party.

13. Suspension and Termination

COZ CLUB may suspend or terminate your access to the Website or member portal, with or without notice, where you breach these Terms, where your Membership Agreement is terminated, or where we reasonably believe such action is necessary to protect COZ CLUB, its Members or the public.

You may terminate your membership at any time by writing to contact@cozclub.com, subject to the terms of your Membership Agreement. On termination, your right to access the member portal will cease, though provisions of these Terms that by their nature should survive termination will continue to apply.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Subject to your Membership Agreement, any dispute arising out of or in connection with these Terms shall first be referred to good faith discussion between the parties, and failing resolution, shall be subject to the exclusive jurisdiction of the courts at Vadodara, Gujarat.

15. Changes to these Terms

We may update these Terms from time to time to reflect changes in law, our practices, or the COZ CLUB ecosystem. The updated Terms will be published on the Website with a revised "Last Updated" date, and where the changes are material, we will notify Members through the member portal or by email. Your continued use of the Website after an update takes effect will signify your acceptance of the updated Terms.
